OFFICIAL RULES:

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ELIGIBLE ENTRIES RECEIVED.

ENTRY PERIOD:

The Sweepstakes begins on June 30, 2016, at 5:00 PM Eastern Time (“ET”) and ends on July 8, 2016, at 4:59 PM ET (the “Entry Period”).

ELIGIBILITY:

The Color Run MLB All-Star 5K Sweepstakes (“Sweepstakes”) is open to legal residents of the 48 continental United States and the District of Columbia, who are 18 years of age or older (except in the case of legal residents of certain states/territories/provinces where the legal age of majority is greater than eighteen (18) years of age, such legal age of majority) at the time of entry. Employees of The Color Run (“Sponsor” or “The Color Run”), the MLB Entities (defined below), each of their respective sponsors and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of such employees are not eligible to enter. The “MLB Entities” shall mean the Office of the Commissioner of Baseball (“BOC”), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P., Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs (“Clubs”), each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities. Void where prohibited.

TO ENTER:

You may enter the Sweepstakes in one (1) of two (2) ways: by registering online for The Color Run MLB All-Star 5K, Presented by Nike (the “Event”) or email. No other method of entry will be accepted. Limit one (1) entry per person/email address/household, regardless of method of entry. Additional entries beyond the specified limit will be void. Any eligible person who registers in accordance with these rules is an “Entrant”

1. Online Event Registration Method: During the Entry Period go to http://mlb.mlb.com/mlb/events/all_star/y2016/run.jsp and click on the banners, buttons and/or links to access the online registration form for the Event. By successfully transmitting a completed online Event registration form as directed, you will be entered in the Sweepstakes. All information submitted online by entrants is subject to, and will be treated in a manner consistent with, Sponsor’s Terms of Use accessible at: http://thecolorrun.com/terms/ and Privacy Policy accessible at: http://thecolorrun.com/privacy/. Entrants must fully complete and submit all non-optional data requested on the online registration form to be eligible. Incomplete and/or inaccurate registrations are void. All online entries must include a valid email address for the entrant.

2. Email Method: If you do not wish to enter online or register for the Event, you may enter the Sweepstakes during the Entry Period by emailing your full name, address, city, state/territory/province and zip code, day & evening telephone numbers (including area codes) and date of birth to sponsorteam@bigsley.com, with name of Sweepstakes (“The Color Run MLB All-Star 5K Sweepstakes”) as the subject line. Sponsor will use email addresses for prize notification purposes only. The Sweepstakes shall be subject to these Official Rules, and by entering, Entrant agrees to be bound by the terms and conditions set forth herein. Entrant is required to provide truthful information and The Color Run will reject and delete any entry that it discovers to be false or fraudulent. The Color Run will disqualify any Entrant who does not meet the eligibility requirements and will also delete any entry as required by law.

PRIZE DRAWINGS:

One (1) potential winner of the Sweepstakes will be selected by random drawing on or about July 8, 2016, from among all eligible entries received. The decisions of Sponsor are final and binding on all matters relating to this Sweepstakes. Limit one (1) Prize per person, family or household.

PRIZES:

Three (3) prizes (each, a “Prize” and collectively, the “Prizes”) will be awarded at the discretion of Sponsor as follows: 1. One (1) Winner will be awarded one (1) ticket for Winner and one (1) guest for the 87th MLB All-Star Game; one (1) of each of the following The Color Run products: sunglasses, water bottle, fanny pack and trucker hat. Approximate Retail Value (“ARV”): $480.

PRIZES CONDITIONS:

No cash equivalent shall be made available on Prizes. Prizes are non-transferable. No substitution shall be made. The Prizes do not include tickets to any event or exhibition during the 2016 MLB All-Star Weekâ„¢ other than as specifically set forth herein. Prizes consist of only those items specifically listed as part of the Prize ““ any item, feature, cost or expense not specifically listed as part of the Prize is the sole responsibility of each individual Winner. Entrants acknowledge that Sponsor and the MLB Entities have not made, and are not in any manner responsible or liable for, any warranties, representations or guarantees, and hereby disclaim any and all warranties, expressed or implied, whether by contract or law, concerning any Prize, including without limitation, implied warranties of quality, merchantability, mechanical condition or fitness for a particular purpose. Other restrictions may apply.

TRANSPORTATION TO/FROM THE GAME, EVENT OR EXHIBITION AND LODGING NOT INCLUDED.

Seat locations at the game, event or exhibition, as applicable, shall be determined in the sole discretion of Sponsor. Winners’ companions must be of legal age of majority in their jurisdictions of residence (and at least eighteen (18) years of age), unless accompanied by a parent or legal guardian. Major League Baseball game, event and exhibition dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the applicable Major League Baseball Club, as applicable, and may be subject to change. The terms and conditions of the tickets awarded as part of any Prize will govern in the event a legal game, event or exhibition, as defined by Major League Baseball, is not played or held, as applicable, due to weather conditions, an act of God, an act of terrorism, civil disturbance or any other reason. Each Winner and his/her guest(s) agree to comply with all applicable ballpark and venue, as applicable, regulations in connection with the Prize. Sponsor and the applicable MLB Entities reserve the right to remove or to deny entry to any Winner and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game, event or exhibition. Sponsor and the MLB Entities will not be responsible for weather conditions, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the cancellation or postponement of any Major League Baseball game, event or exhibition. Major League Baseball game, event and exhibition tickets awarded as prizes may not be resold or offered for resale. Any such resale may result in disqualification and Prize forfeiture, and may invalidate the license granted by the game, event or exhibition ticket(s).

ODDS OF WINNING:

Odds of winning depend on the total number of eligible entries received.

WINNER NOTIFICATION/VERIFICATION:

The potential winners will be notified by electronic mail postal address and/or telephone number (in the sole discretion of Sponsor) with details on how to coordinate picking up the prizes. Potential winners may be required to complete, sign, have notarized and return an Affidavit of Eligibility and Liability and, unless prohibited by law, Publicity Release form, and other applicable documents, within twenty-four (24) hours of the time on the notification. If a potential winner cannot be contacted, fails to timely claim the Prize or declines the Prize for any reason, is disqualified, fails to timely execute and return any required forms, or if the Prize or prize notification is returned as undeliverable for any reason, Prize will be forfeited and a substitute potential winner may be drawn randomly, time permitting, from among all remaining eligible entries. If by reason of computer programming, printing, production or other error, more prizes are claimed than the number of prizes set forth in these Official Rules, a random drawing will be held to award the advertised number of prizes. Once verification of eligibility has been correctly received from the Sweepstakes winners, per these Official Rules, the potential winners shall be the declared the official winners of the Sweepstakes (each, a “Winner” and collectively, the “Winners”). The Sweepstakes Winners are responsible for all federal, state, territory and local tax liabilities.

NO LIABILITY & INDEMNIFICATION:

Sponsor, the MLB Entities and each of their respective parents, affiliated companies, subsidiaries, officers, directors, employees, agents, licensees, distributors, dealers, retailers, printers, representatives and advertising and promotion agencies, and any and all other companies associated with the Sweepstakes, and all of their respective officers, directors, employees, agents and representatives (collectively, “Released Parties”) are not responsible for, and Entrants release the Released Parties from any failures of any kind (whether caused by computer, technical, or human error) which may either limit the Entrant’s ability to submit an entry, claim a prize, or otherwise participate in this Sweepstakes, or the ability to include all eligible entries, conduct random drawings, notify potential winners, or otherwise execute this Sweepstakes in the manner intended. Entrants further release and agree to indemnify the Released Parties from all liability, claims, actions, loss, harm, damage, injury, cost or expense including without limitation, property damage, personal injury and/or death which may be sustained in connection with this Sweepstakes, including, but not limited to: (a) the receipt, ownership or use or misuse of any Prize awarded; (b) participation in any Sweepstakes-related activity, including, without limitation, travel; (c) any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action; (d) any typographical or other error in these Official Rules or any other materials disseminated by the Sponsor and/or any MLB Entity; (e) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with any equipment, systems, networks, lines, satellites, servers, computers, or providers used by an Entrant or the Sponsor and/or any MLB Entity; (f) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (g) unauthorized human intervention in any part of the entry process or the Sweepstakes; (h) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (i) late, lost, undeliverable, damaged or stolen mail.

PUBLICITY & MARKETING:

Acceptance of a Prize constitutes permission (except where prohibited) for Sponsor and the MLB Entities to use Sweepstakes each Winner’s names, likeness, biography, statements, voice, image and any other personal characteristics, in all media, for any purpose, including without limitation marketing, promotional and publicity purposes throughout the world, in perpetuity, without additional compensation to any such Winner or any limitation, and such individual releases the Sponsor and the MLB Entities from any liability with respect to such use.

OTHER TERMS:

Decisions of Sponsor and the MLB Entities on all matters related to the Sweepstakes are final. Sponsor and the MLB Entities reserve the right to extend, suspend, cancel or modify the Sweepstakes for any reason, including but not limited to, if fraud, misconduct or technical failures destroy the integrity of the Sweepstakes, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Sweepstakes as determined by Sponsor and the MLB Entities in their sole discretion. Sponsor reserves the right to disqualify or prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation or with any provision in these Official Rules. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE (INCLUDING THE ENTRY SITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR WILL DISQUALIFY ANY ENTRANT RESPONSIBLE FOR THE ATTEMPT AND SPONSOR AND THE MLB ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY PERSON RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

GOVERNING LAW & JURISDICTION:

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of United States applicable thereto, without giving effect to any choice of law or conflict of law rules. By entering, you consent to the jurisdiction and venue of the federal, state and local courts located in Salt Lake City, Utah for the resolution of all disputes, and agree that any and all disputes shall be resolved exclusively in those courts. Any and all disputes shall be resolved individually, without resort to any form of class action, and any and all claims shall be limited to actual out-of- pocket costs incurred but shall in no event include attorneys’ fees. No punitive, incidental, special, consequential or other damages, including, without limitations, lost profits may be awarded (collectively, “Special Damages”). By entering the Sweepstakes, Entrant waives all rights to claim Special Damages.
